These Terms of Service (“Terms”) govern your access to and use of the website noventlabs.com (the “Site”) and the services provided by Novent Labs (“Novent Labs”, “we”, “us”, or “our”). By accessing the Site or engaging our services, you (“you” or the “Client”) agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.
1. Services
Novent Labs provides AI-powered growth, marketing, automation, and related consulting services (the “Services”). The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate proposal, statement of work, or written agreement (“Engagement Terms”). In the event of a conflict between these Terms and any Engagement Terms, the Engagement Terms will control for that engagement.
2. Eligibility
You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organisation you represent.
3. Client Responsibilities
You agree to provide accurate information and the access, materials, approvals, and cooperation reasonably required for us to perform the Services. You are responsible for the accuracy, legality, and ownership of any content, data, or assets you provide to us.
4. Fees and Payment
Fees, payment schedules, and billing terms are described in the applicable Engagement Terms. Unless otherwise agreed, invoices are due upon receipt. Late payments may result in suspension of the Services. All fees are exclusive of applicable taxes unless stated otherwise.
5. Intellectual Property
Upon full payment, you own the final deliverables we create specifically for you under an engagement. Novent Labs retains all rights to its pre-existing materials, methodologies, tools, frameworks, software, and know-how, including any improvements to them. We may use third-party tools and platforms in delivering the Services, which remain subject to their own licences and terms.
6. Third-Party Platforms and No Guarantee of Results
Our Services may involve third-party platforms, including AI search and generative engines, which we do not control. Their behaviour, algorithms, and policies may change at any time. While we apply proven strategies and best practices, we do not guarantee any specific outcome, ranking, visibility, placement, lead volume, or revenue result. Any figures or examples provided are illustrative and are not a promise of performance.
7. Confidentiality
Each party agrees to keep the other party’s non-public information confidential and to use it only for the purpose of the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
8. Acceptable Use
You agree not to misuse the Site or Services, including by attempting to gain unauthorised access, interfering with normal operation, infringing intellectual property rights, or using the Services for unlawful purposes.
9. Disclaimers
The Site and Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
10. Limitation of Liability
To the maximum extent permitted by law, Novent Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Services will not exceed the amount you paid to us for the Services giving rise to the claim in the three (3) months preceding the event.
11. Indemnification
You agree to indemnify and hold harmless Novent Labs and its team from any claims, damages, or expenses arising out of your breach of these Terms, your content or data, or your use of the Services.
12. Term and Termination
These Terms remain in effect while you use the Site or Services. Either party may terminate an engagement as described in the applicable Engagement Terms. We may suspend or terminate access to the Site at any time if we reasonably believe you have violated these Terms. Provisions that by their nature should survive termination will survive.
13. Governing Law
These Terms are governed by and construed in accordance with the laws applicable in the jurisdiction in which Novent Labs is established, without regard to conflict of law principles. The courts of that jurisdiction will have exclusive jurisdiction over any dispute, unless otherwise required by applicable law.
14. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date above reflects the most recent version. Your continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
